默克藥廠(Merck)決定以410億美元併購先靈葆雅(Schering-Plough)，目前先靈葆雅的強項為生物產品，共有18種藥物正再進行第三期臨床試驗，將可協助默克藥廠順利搶攻生技產品市場。

默克公司將與先靈葆雅公司合併

交易結構：

此次交易採用「反向收購」，其中先靈葆雅公司重新命名為默克後將繼續以公營公司的身份存在。交易價格經雙方協商定為26.25美元，其中10.5美元以現金支付，15.75美元以默克公司股票支付，價格為30天行動加權平均價27.3109美元。自交易完成時起效，默克公司股票將以1：1的比例自動轉換成合併後公司股票。先靈葆雅公司股東透過交易得到的新公司股票，以及默克公司股東轉換得到的股票，據美國聯邦所得稅法規定無需繳納個人所得稅。先靈葆雅公司股東得到的現金將根據其所獲資本利得課稅。
